The purpose of the company is: a) to grant, with or without adequate consideration, guarantees in favor of the holders of bonds issued by its majority shareholder or any affiliate of the latter, under guarantee mandate contracts with the respective issuer of such bonds; b) to enter into, with or without adequate consideration, other financing, guarantee or intermediation transactions for the benefit of its majority shareholder or any affiliate of the latter; c) to acquire, hold, conserve, realize and sell mortgage credits (including mortgage notes and other guarantees granted in relation to such mortgage credits, as well as accessory credits to such mortgage credits and other related credits) that are transferred to the Company as security for the Company's claims in relation to the guarantee mandate contracts and other related agreements, as well as to manage and apply the related proceeds; d) to participate in a system and enter into contracts (including, by way of example and not exhaustively, participation agreements and custody agreements) in order to participate in a system that allows the fiduciary transfer of registered mortgage notes to an administrative trustee, as well as the holding and transfer of fiduciary rights on registered mortgage notes among the participants in the system; e) to fulfill the obligations arising from contracts with the majority shareholder, with any affiliate of the latter or with third parties entered into in relation to such transactions under points (a) to (d) above and to enter into such contracts with or without adequate consideration; and f) to provide liquidity to satisfy the obligations towards the holders of bonds issued by its majority shareholder or affiliates of the latter, or towards third parties in relation to the agreements entered into under points (a) to (e) above, by carrying out repurchase transactions with its majority shareholder, affiliates of the latter or third parties. The Company may not carry out transactions that do not directly or indirectly serve the purpose of the Company. In particular, the Company may not acquire, hold, manage, realize or sell real estate or intellectual property rights in Switzerland or abroad. The Company may not open branches or subsidiaries, acquire participations in other companies, grant guarantees or other personal guarantees to third parties, except in relation to bonds issued by its majority shareholder or any affiliate of the latter, nor have employees or premises.
