The purpose of the company is to represent European group companies of the Aleris Group from Switzerland and to provide European group management activities. Additionally, the company aims to provide centralized services for metal trading and hedging transactions. The company may establish branches and subsidiaries in Switzerland and abroad. The company may grant loans or other financing to third parties, including companies in which it has a direct or indirect interest, as well as direct or indirect shareholders of the company or companies in which these direct or indirect shareholders of the company have a direct or indirect interest, conclude cash pooling agreements with such third parties, and provide security of any kind and guarantees for their liabilities, in each case with or without consideration and even if these transactions are in the exclusive interest of the third parties. The company may acquire, manage, encumber and sell real estate, participations and intellectual property rights in Switzerland and abroad. The company may engage in any further activity that is directly or indirectly related to the aforementioned purposes.
