The company's purpose is to pursue a business or activity concerning (i) the creation, development, management and ownership of software and other intellectual property rights, (ii) the granting of licenses and sub-licenses on such rights or the use of such rights by (a) affiliated companies, group companies or related companies and entities as well as (b) third parties, (iii) the holding of participations, in whatever form, in Swiss or foreign companies, by the purchase, transfer by sale, exchange or otherwise of shares, bonds, bond certificates, debt securities, notes and all other securities and all related transactions, and (iv) the possession, administration, development and management of its portfolio of securities and intellectual property rights. The company may also take participations in partnerships. Operations prohibited by the Federal Act on the Acquisition of Real Estate by Foreigners (LFAIE) are explicitly excluded. The Company may borrow in all forms and issue bonds that may be convertible (provided that this is not public) and issue debt securities. In general, it may provide assistance to affiliated companies, take all control and supervisory measures and carry out any operation that may be useful for the accomplishment and development of its purpose. The company may, excluding operations prohibited by the Federal Act on the Acquisition of Real Estate by Foreigners (LFAIE),: - carry out any commercial, industrial or financial operation, as well as any transaction on movable or immovable property and especially intellectual or industrial property, directly or indirectly related to its purpose; - create branches or subsidiaries in Switzerland and abroad, participate in all enterprises having a direct or indirect relationship with its purpose; - grant loans or guarantees to shareholders or third parties, if this favors its interests.
