The Company's purpose is the management, administration and operation of an orthopedic foot and ankle surgery practice, the sale and supply of related products and services, as well as all other related activities. The Company must have a significant positive impact on society and the environment in the context of its business and operational activities. The Company may, in addition, in Switzerland and/or abroad: (i) engage in all financial, commercial or industrial activities - movable or immovable (except for operations prohibited by the Federal Law on the Acquisition of Real Estate by Foreigners) - and conclude all contracts and engage in all other activities suitable for developing its purpose or in direct or indirect relation to it; (ii) hold, acquire, operate and sell all intellectual property rights related to its purpose; (iii) create branches or subsidiaries; (iv) participate in all enterprises having a direct or indirect relationship with its purpose; and (v) grant loans and provide guarantees, including by way of pledge or transfer of ownership of the Company's assets for the purpose of security and by way of guarantees of any kind, onerous or not, as well as direct or indirect financing, including in the context of cash pooling agreements (centralization of treasury), to direct or indirect subsidiaries, direct or indirect shareholders and their direct or indirect subsidiaries, or to third parties.
