The purpose of the company is to manage, operate and lease hotel and catering businesses on the Reuss, to provide services of any kind in the hotel and catering industry, to plan, organize and carry out seminars, conferences and events of any kind, as well as to provide all services and work related to the aforementioned activities. The company may engage in any industrial, commercial, financial and other activities, both domestically and abroad, carry out transactions and enter into legal transactions that are directly or indirectly related to the purpose of the company or are suitable to facilitate or promote its achievement and/or the development of the company. Consequently, the company may in particular establish, set up, dissolve or liquidate companies of any kind, branches and other representations in any form both domestically and abroad, participate in other companies of any kind both domestically and abroad, merge with other companies of any kind, take over other companies or sell the participation in other companies. Furthermore, the company may develop, create, produce, register, broker, finance, grant, license, acquire, hold, manage, administer, use, lend for use, encumber, trade, sell or exploit any other type of securities, capital investments, intangible assets or rights, raw materials of any kind, movable assets of any kind as well as real estate of any kind both domestically and abroad, and carry out all other legal transactions related to these assets. It may also take out loans and credits for itself, companies close to it, shareholders and third parties, grant loans and credits to companies close to it, shareholders and third parties, commit itself as a guarantor for loans and credits from companies close to it, shareholders or third parties or provide other guarantees or securities of any kind for this purpose, in particular by pledging or by fiduciary transfer, as well as incur and assume bill of exchange liabilities. Finally, the company is also authorized to engage in any other form of short-term, medium-term or long-term investments, capital raising, financing and financial transactions for its own account or for the account of others.
