The Company's purpose is: to provide purchasing and procurement services, in particular the management of procurement groups and strategic markets, including the management and development of relationships with suppliers and the definition of procurement policies and procedures, to carry out sales and procurement activities, in particular to buy and sell, in Switzerland and abroad, all products, raw materials, packaging, equipment and services, in the fields of food, nutrition, health, well-being and related industries for its own account and that of its affiliated companies, to carry out financial hedging, foreign exchange and other related financial activities or services. The Company may establish branches and subsidiaries in Switzerland and abroad and participate in other companies in Switzerland and abroad. The Company may acquire, hold, manage, pledge, develop and dispose of real estate and intellectual property rights in Switzerland and abroad, as well as finance other companies, except for operations prohibited by the Federal Act on the Acquisition of Real Estate by Foreigners (LFAIE). The Company may grant loans, secured or unsecured, or provide guarantees or collateral to shareholders, direct or indirect subsidiaries, parent companies, sister companies or third parties. Furthermore, it may operate or participate in cash pooling/centralized cash management, including periodic balance adjustments, with the companies of the group to which it belongs. The Company may also do all this without consideration, on preferential terms, without interest or other remuneration, excluding the Company's profit motive and incurring a concentration of risks. The Company may engage in all commercial, financial and other activities suitable to promote its purpose or related to it, taking into account, to the extent permitted by law, the interests and general orientation of the group to which it belongs.
